Code of Conduct

1. Why this exists

PioneerUnion works in places where essential systems are weak, regulation is developing, and the consequences of getting it wrong fall on people who have few alternatives. That raises the standard we have to hold ourselves to, not lowers it.

This Code sets out how we behave. It is written to be usable — short enough to read, specific enough to apply.

2. Who it applies to

Everyone who works for or on behalf of the PioneerUnion Group: directors, employees, contractors, agents, and consultants, in every country chapter and every group entity.

We also expect it of our suppliers, joint venture partners and subcontractors. Where a partner’s own standards fall below this Code on the matters covered in sections 4 to 8, ours applies.

3. Our values, and what they mean in practice

  • Equity — access is a right, not a privilege. We do not price, staff or design in ways that quietly exclude the people we say we serve.
  • Integrity — we do what we say. If we cannot do it, we say so before we are asked.
  • Transparency — we are honest about progress and setbacks. Bad news travels up, quickly.
  • Compassion — people before metrics. A target met by cutting corners on someone’s safety or dignity has not been met.

4. Honesty in what we say

This section exists because our work involves proposals to governments, materials for investors, and public reporting on impact.

  • We do not overstate capability, capacity, track record, certification or progress.
  • Figures are labelled for what they are: contracted, audited, estimated, projected, or target. An estimate presented as a fact is a false statement, however good the intention.
  • We do not claim certifications, ratings or endorsements we do not hold.
  • We do not imply a relationship — with a government, an investor, or a partner — that does not exist.
  • When we get something wrong publicly, we correct it publicly and say that we did.

5. Bribery, corruption and improper payments

We do not offer, give, request or accept a bribe. There are no exceptions, no local-custom exemptions, and no thresholds below which it becomes acceptable.

  • Facilitation payments — small payments to speed up a routine approval — are bribes. We do not make them. If a payment is demanded to obtain something we are entitled to, refuse, and report it.
  • Gifts and hospitality must be modest, infrequent, transparent, and never offered or accepted around a decision point — a tender, a permit, an inspection, an award. If it could not be described openly to the other party’s employer, it is not acceptable. Anything of more than token value must be recorded and approved in advance.
  • Public officials carry a higher bar than commercial counterparties. When in doubt with an official, the answer is no.
  • Intermediaries — agents, facilitators, consultants — cannot be used to do what we could not do directly. We check who we engage and what they are being paid for.

6. Conflicts of interest

Declare anything that could reasonably look like a conflict — a family or personal relationship with a counterparty, an outside interest in a supplier or competitor, a second role, a personal benefit from a decision you influence.

Declaring a conflict is not an admission of wrongdoing. Failing to declare one is.

7. Fair dealing

We compete on the merits of what we build. We do not fix prices, rig tenders, or divide markets. We do not misrepresent competitors. We do not obtain confidential information about them improperly.

We comply with applicable sanctions and export controls, and we check counterparties before we engage them.

8. People

  • Safety comes before schedule and before cost. Anyone may stop work they reasonably believe is unsafe, and no one will be penalised for doing so.
  • No child labour and no forced labour, in our operations or our direct supply chain.
  • We do not retain passports or identity documents. Workers hold their own documents.
  • Wages are paid in full and on time, in the amounts agreed, with deductions explained.
  • No harassment, bullying or discrimination on grounds of race, nationality, religion, sex, disability, age, or any other characteristic irrelevant to the work.
  • Instructions and safety information are provided in a language the worker actually reads. A rule someone cannot read is not a rule, it is a liability transferred to the person least able to carry it.
  • Freedom to raise concerns without going through the person the concern is about.

9. Environment and community

We work to reduce environmental harm from what we build and operate, and we comply with environmental permits and conditions in full.

Where a project affects an inhabited island or community, we engage with it before work begins, not after. We do not treat community consultation as a formality to be completed.

10. Information, data and confidentiality

We protect personal data of clients, employees and community members, collect only what we need, and never collect the categories our privacy notices say we do not collect.

We protect confidential information belonging to counterparties, and we honour confidentiality obligations after a relationship ends.

11. Records and company assets

Records are accurate and complete. We do not create false or misleading records, backdate documents, or keep transactions off the books. Company assets and funds are used for company purposes.

12. Political activity and donations

The Group does not make political donations, in cash or in kind, in any country. Individuals’ private political activity is their own, conducted in their own time and never on behalf of, or identified with, PioneerUnion.

13. Raising a concern

If something here is being breached, or you think it might be, report it. See our Whistleblowing Policy for the channels and for the protection you have when you use them.

We do not retaliate against anyone who raises a concern in good faith. Retaliation is itself a breach of this Code and is treated as seriously as the original matter.

14. When the Code is breached

Breaches are investigated and acted on. Depending on severity that can mean training, a warning, dismissal, termination of a supplier relationship, or referral to the authorities.

“I was told to” is not a defence. Neither is “it is how things are done here.”

15. Ownership and review

This Code is owned by the group board and reviewed at least annually.

1. 为何需要本准则

先锋联合工作的地方,基础系统薄弱、监管仍在完善,而一旦做错,后果由几乎没有其他选择的人承担。这提高了我们必须对自身设定的标准,而非降低。

本准则规定我们的行为方式。它力求可用——短到能读完,具体到能落实。

2. 适用对象

为先锋联合集团工作或代表其行事的每一个人:董事、员工、承包商、代理人与顾问,涵盖各国家分部与集团各实体。

我们同样期待供应商、合营伙伴与分包商遵守。在第 4 至 8 节所涉事项上,若合作方自身标准低于本准则,以本准则为准。

3. 我们的价值观及其实际含义

  • 公平——可及是权利,而非特权。我们不以定价、人员配置或设计的方式,悄然把我们声称服务的人排除在外。
  • 诚信——说到做到。若做不到,在被问及之前就说明。
  • 透明——对进展与挫折同样如实以告。坏消息应迅速向上传递。
  • 关怀——人先于指标。以牺牲他人安全或尊严为代价达成的目标,不算达成。

4. 言说的诚实

设立本节,是因为我们的工作涉及向政府提交方案、面向投资者的材料,以及公开的影响力报告。

  • 我们不夸大能力、产能、过往业绩、认证资质或进展。
  • 数据须标明性质:合同约定、经审计、估算、预测或目标。把估算当作事实呈现即为虚假陈述,无论初衷多好。
  • 我们不宣称并不持有的认证、评级或背书。
  • 我们不暗示并不存在的关系——无论对方是政府、投资者还是合作伙伴。
  • 公开出错时,我们公开更正,并说明我们做了更正。

5. 贿赂、腐败与不当付款

我们不提供、给予、索取或收受贿赂。没有例外,没有“当地惯例”豁免,也没有低于某一金额即可接受的门槛。

  • 疏通费——为加快例行审批而支付的小额款项——即是贿赂。我们不支付。若为获得我们本就有权获得的事项而被索款,应拒绝并上报。
  • 礼品与款待 须适度、低频、公开,且绝不可在决策节点前后提供或接受——招标、许可、检查、评奖。若无法向对方所在机构公开说明,即为不可接受。超过象征性价值者须事先记录并获批准。
  • 公职人员 适用高于商业对手方的标准。与公职人员相关而存疑时,答案是“不”。
  • 中间人——代理、居间人、顾问——不得用于做我们自己不能直接做的事。我们核查所聘对象及其收费事由。

6. 利益冲突

凡合理看来可能构成冲突者,均须申报——与对手方的亲属或私人关系、在供应商或竞争者中的外部权益、兼任职务、从您可影响的决策中获得的个人利益。

申报冲突不等于承认不当行为;不申报才是。

7. 公平交易

我们凭所建成之物的价值竞争。我们不操纵价格、不串通投标、不瓜分市场。我们不诋毁竞争者,不以不正当方式获取其保密信息。

我们遵守适用的制裁与出口管制规定,并在合作前核查对手方。

8. 关于人

  • 安全优先于工期与成本。 任何人都可以停止其合理认为不安全的作业,且不因此受罚。
  • 杜绝童工与强迫劳动,包括我们的运营与直接供应链。
  • 我们不扣押护照或身份证件。 证件由工人自行保管。
  • 工资足额准时发放,金额按约定,扣款须说明理由。
  • 禁止骚扰、霸凌与歧视,不得基于种族、国籍、宗教、性别、残障、年龄或任何与工作无关的特征。
  • 指令与安全信息须以工人真正能读懂的语言提供。 读不懂的规则不是规则,而是把责任转嫁给最无力承担的人。
  • 可自由提出关切,无须经由被反映的当事人。

9. 环境与社区

我们努力减少所建设与运营项目对环境的损害,并完整遵守环境许可及其附加条件。

当项目影响到有人居住的岛屿或社区时,我们在动工之前而非之后与其沟通。我们不把社区协商当作走过场的程序。

10. 信息、数据与保密

我们保护客户、员工与社区成员的个人数据,只收集必需信息,绝不收集隐私声明中列为不收集的类别。

我们保护对手方的保密信息,并在合作关系结束后继续履行保密义务。

11. 记录与公司资产

记录须准确完整。我们不制作虚假或误导性记录,不倒签文件,不设账外交易。公司资产与资金仅用于公司用途。

12. 政治活动与捐赠

集团在任何国家均不进行政治捐赠,无论现金或实物。个人的私人政治活动属其个人事务,须在个人时间进行,且绝不得以先锋联合名义或与之相关联。

13. 提出关切

若本准则正被违反,或您认为可能被违反,请举报。渠道及您在使用渠道时受到的保护,见《举报政策》。

对善意提出关切者,我们绝不打击报复。打击报复本身即违反本准则,其严重程度等同于原事项。

14. 违反本准则时

违规行为将被调查并处理。视严重程度,可能包括培训、警告、解雇、终止供应商合作,或移交主管机关。

“是别人让我做的”不构成抗辩理由,“这里向来如此”也不构成。

15. 归属与复核

本准则由集团董事会负责,至少每年复核一次。
